§ 1What Colawborate is
Colawborate (“Colawborate,” “we,” “us”) operates colawborate.com, a free online marketplace where licensed attorneys (“Members”) find and offer professional work and collaboration: hiring, contract and freelance work, co-counsel and referral relationships, appearance coverage, and other projects.
§ 2Eligibility and verification
Colawborate is open only to individuals who are licensed to practice law, and in good standing, in at least one U.S. state, the District of Columbia or a U.S. territory. You must be at least 18 years old.
When you submit a profile, you confirm that the information you provide, including your bar admissions, is accurate and complete. We review each profile against official attorney directories and may approve, decline, request more information about, or later suspend any profile at our discretion. You must keep your profile accurate, including if your license status changes.
Verification reflects the records we reviewed at the time. It is not an endorsement of any Member, a certification of any Member’s skill or experience, or a guarantee of their current standing.
§ 3Your account
You sign in with a link sent to your email address or through a sign-in provider you choose. Keep access to that email account secure. Each account is for one individual attorney; don’t share it or create accounts for others. Tell us right away at support@colawborate.com if you believe someone has used your account without permission.
§ 4No fees, no referrals, not a party
Colawborate is free. We don’t charge Members for using the site, and we don’t receive any part of any fee, salary or other compensation that Members agree on.
Colawborate is not a law firm and does not provide legal services or legal advice. It is not a lawyer referral service: we don’t recommend, rank or refer lawyers, and we don’t connect lawyers with members of the public seeking legal services. We are not a party to, and are not responsible for, any agreement, engagement or dispute between Members.
§ 5Your professional obligations
You alone are responsible for complying with the laws and rules of professional conduct that apply to you in every jurisdiction where you practice or where the work is performed. Depending on the jurisdiction, these may include rules on:
- division of fees between lawyers in different firms and the client consent it requires (for example ABA Model Rule 1.5(e) and its state counterparts);
- confidentiality of client information (Model Rule 1.6);
- conflicts of interest (Model Rules 1.7 through 1.10);
- supervision of lawyers and nonlawyer assistants (Model Rules 5.1 through 5.3);
- unauthorized and multijurisdictional practice (Model Rule 5.5); and
- advertising, solicitation and payments for recommendations (Model Rules 7.1 through 7.3).
Never post information that would identify a client or reveal confidential information. Share matter details only in private messages, and only after you’ve cleared conflicts with the other attorney.
§ 6Content you post
You keep ownership of the profiles, posts and messages you submit (“Your Content”). You give us a non-exclusive, worldwide, royalty-free license to host, store, reproduce and display Your Content to operate and improve Colawborate. This license ends when you delete Your Content or your account, except for copies kept in backups for a limited period or as required by law.
You are responsible for Your Content. It must be accurate, lawful and consistent with our Community Guidelines. We may remove content or restrict accounts that we believe violate these terms or the guidelines.
§ 7What you may not do
- Misrepresent your identity, licensure, standing or experience, or impersonate anyone.
- Post spam, unrelated advertising, or anything unlawful, defamatory, harassing or discriminatory.
- Offer or request anything of value for recommending a lawyer’s services where the applicable rules prohibit it.
- Copy, scrape or harvest other Members’ information, or use it for marketing outside Colawborate.
- Interfere with the site’s security or operation, or access it by automated means without our written permission.
- Use Colawborate to seek or offer legal services to non-lawyers.
§ 8AI-assisted features
Colawborate offers optional AI tools that draft profiles from a resume you upload or from public web pages, help polish text, and assist our team with bar verification. AI output can be incomplete or wrong. Review everything before you submit or publish it; you are responsible for what appears on your profile and in your posts.
§ 9Privacy
Our Privacy Policy explains what we collect and how we use it.
§ 10Ending your use
You can delete your account at any time from your settings. We may suspend or terminate access for anyone who violates these terms, whose license status changes, or whose use creates risk for other Members or for us. Sections 4, 6 (as to the license period), and 11 through 14 survive termination.
§ 11Disclaimers
Colawborate is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t warrant that the site will be uninterrupted or error-free, or make any representation about any Member’s qualifications, conduct or work.
§ 12Limitation of liability
To the fullest extent permitted by law, Colawborate will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, fees or data, arising out of or related to your use of the site or any dealings between Members. Our total liability for any claim relating to Colawborate is limited to one hundred U.S. dollars (US$100).
§ 13Indemnification
You will defend, indemnify and hold harmless Colawborate and its owners, officers and agents from any claims, losses and expenses (including reasonable attorneys’ fees) arising from Your Content, your dealings with other Members, or your violation of these terms or of any law or rule of professional conduct.
§ 14Governing law and venue
These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of these terms or Colawborate will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to their personal jurisdiction.
§ 15Changes
We may update these terms. If a change is material, we’ll notify you by email or on the site before it takes effect. Continuing to use Colawborate after the effective date means you accept the updated terms.
